Terms of Service
Last updated: 22 September 2026 · Governed by the law of Northern Ireland
About us
TradeNudge is a trading name of Ironbit Ltd (Company No. NI729290), registered in Northern Ireland. These Terms of Service govern your use of the TradeNudge website and service. When we say “we”, “us” or “our”, we mean Ironbit Ltd. You can contact us at [email protected].
The Service
TradeNudge provides automated SMS invoice reminders for UK tradespeople. We do not guarantee payment from your customers. Our service is limited to delivering reminder messages on your behalf.
Acceptable Use
You agree to only enter details for customers with whom you have a genuine pre-existing business relationship and a legitimately outstanding invoice. Using TradeNudge for harassment, spam, or marketing is strictly prohibited and may result in immediate account termination. Trial accounts are strictly limited to 10 SMS messages to prevent network abuse. Attempting to bypass this limit by creating multiple accounts is prohibited and will result in a permanent network ban.
Your Customers' Data
By entering a customer's mobile number you confirm you have a lawful basis to contact them under UK GDPR. You are responsible for ensuring the data you enter is accurate and used appropriately. You must only use TradeNudge to chase genuine outstanding invoices.
CRM Data & Right to Store Client Information
By using the TradeNudge CRM and Diary features to store client contact details (name, phone number, email address, and/or address), you confirm that you have the legal right under UK GDPR — whether by Legitimate Interest or Consent — to store and process that individual's personal data. You accept full responsibility as the Data Controller for the accuracy and lawfulness of the client data you store. TradeNudge acts solely as a Data Processor and will never use your client data for any purpose other than providing the service to you.
SMS Fair Usage & Anti-Spam
TradeNudge SMS features are strictly for transactional debt recovery, not marketing. Accounts are subject to a Fair Usage limit (200 messages/month on the Pro plan; 10 messages during the free trial). Misuse of the platform — including sending unsolicited marketing messages or spam — will result in immediate account termination and may be reported to the relevant telecommunications authority.
Payment Disclaimer
TradeNudge acts solely as a routing tool for payment links. We do not process, hold, or touch your funds at any point. All payments flow directly between your customer and your connected payment provider (such as Stripe or your bank account). We accept no liability for disputes, chargebacks, failed payments, or issues arising from third-party payment providers.
Billing
Subscriptions are £9.99/month, billed monthly via Stripe. Your 7-day free trial begins on the day you create your account. No charge is made until the trial ends. You may cancel at any time from within the app and you will not be billed again.
Refunds
We offer a pro-rata refund if you cancel within 48 hours of a billing date and have not used the service in that period. For all other cases, subscriptions are non-refundable but cancellations take effect immediately.
Intellectual property
All content in TradeNudge, including the TradeNudge name, logo, and copy, is the property of Ironbit Ltd. Nothing in the service grants you any licence to use our intellectual property without our written consent.
Liability
TradeNudge is not liable for any disputes between you and your customers, for failed or undelivered SMS messages, or for any loss of income arising from use or non-use of the service. Our total liability is capped at the amount you paid us in the 30 days preceding any claim.
Right to Complain
If you have a complaint about TradeNudge or how we handle personal data, you have the right to raise it directly with us at [email protected]. We will acknowledge all complaints within 30 days. You also have the right to escalate to the Information Commissioner's Office (ICO) at ico.org.uk at any time.
AI Accuracy & Liability
TradeNudge utilizes artificial intelligence to assist in extracting data from uploaded invoice images. This feature is provided for convenience. The User accepts full responsibility for verifying the accuracy of all extracted data (including customer details, line items, and financial totals) before generating an invoice or sending a nudge. TradeNudge accepts no liability for financial losses resulting from unverified OCR or AI extraction errors.
Electronic Signatures
TradeNudge provides Simple Electronic Signatures (SES) on quote approval pages. We capture the signatory's IP address and a timestamp at the time of signing to create an audit record. However, we do not guarantee the legal enforceability of any contract or quote approved through this feature. The enforceability of an electronic signature depends on the specific circumstances of each case and the applicable law. You should seek independent legal advice if you require certainty about the enforceability of a digitally signed agreement.
HMRC & Tax Disclaimer
TradeNudge is an invoice generation and communication tool, not certified accounting software. The User remains solely responsible for their own tax compliance, VAT calculations, and maintaining statutory financial records for HMRC (including the 6-year retention rule). TradeNudge is not HMRC MTD-certified. Any CSV exports or PDF documents generated by the platform are for your own records only and do not constitute a formal submission to HMRC.
Changes to These Terms
We may update these terms from time to time. We will notify you by email at least 14 days before any material changes take effect.
Governing Law
These terms are governed by and construed in accordance with the laws of Northern Ireland and the wider United Kingdom. Any disputes shall be subject to the exclusive jurisdiction of the courts of Northern Ireland.
